By accessing or using the AruAI Labs website and services ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree, you may not access or use our services.

These terms constitute a legally binding agreement between you and AruAI Labs, governing your access to and use of our AI development services, research outputs, and related offerings.

AruAI Labs provides:

• Custom AI product development and engineering
• Private LLM systems and on-premise deployments
• Agentic workflow design and implementation
• AI research and experimental lab services
• Consulting and advisory services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

When engaging with AruAI Labs, you agree to:

• Provide accurate and complete information for project scoping
• Use delivered systems and products in accordance with applicable laws
• Not reverse-engineer, decompile, or redistribute proprietary systems
• Maintain confidentiality of shared technical documentation
• Not use our services for any unlawful or harmful purpose

Unless otherwise specified in a written agreement, all intellectual property created by AruAI Labs during an engagement — including models, architectures, training pipelines, and software — remains the property of AruAI Labs until full transfer is agreed upon.

Client data and pre-existing IP provided for a project remain the property of the client. AruAI Labs will not use client data for purposes outside the agreed scope without explicit consent.

You acknowledge that:

• AI systems may produce inaccurate or unexpected outputs
• AI-generated content should not replace professional judgment
• Performance benchmarks are estimates, not guarantees
• Model behavior may vary across different inputs and contexts

Both parties agree to maintain strict confidentiality of proprietary information exchanged during any engagement. This includes technical specifications, business strategies, model weights, training data, and system architectures.

To the maximum extent permitted by law, AruAI Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or AI systems.

Our total liability for any claims shall not exceed the fees paid by the client in the twelve months preceding the claim.

These Terms shall be governed by the laws of the United Arab Emirates. Any disputes shall be resolved through the Dubai International Arbitration Centre (DIAC).

We reserve the right to update these Terms at any time. Material changes will be posted on the Platform. Continued use of the Platform after changes become effective constitutes acceptance.
